Convenors Committee Terms of Reference

The Convenors’ Committee, referred to hereafter as “the Committee”, will advise the Board of Management on any other business of particular importance or complexity. In times of crisis, emergency or high urgency, members will support the College and may make decisions on the Board’s behalf.

Authority

  • The Committee operates under the authority of, and reports to, the Board.

Remit 

  • To act as an expert working group, as necessary, to consider proposals in detail and receive relevant reports.
  • Support, maintain, and enhance the College’s resilience over a prolonged period of crisis as necessary to maintain business continuity, and to minimise risk to the well-being of stakeholders and the College’s effective operations.
  • Take decisions on behalf of the Board of Management in instances of emergency or high urgency where it is not feasible to convene a full Board meeting. Inform all Board members without delay of any decisions taken under this delegated authority.

Membership and Attendance

  • Chairs of the Board of Management’s committees, with the exception outlined in Membership and Attendance, will be members of the Committee, along with the Chair and the Vice Chair. The Vice Chair of the Board of Management will be the Convener of the Committee.
  • The Convener of the Audit and Assurance Committee will not be a member of the Committee; however, where appropriate, they may attend meetings and contribute to the Committee's business.
  • Additional members may be co-opted to the Committee with the approval of the Board of Management. Co-opted members shall contribute to the business of the Committee, but will not have the right to vote.

Meeting and Quoracy

  • The Committee shall meet at least once each academic year. Meetings will be conducted in accordance with the Standing Orders as approved and issued by the Board of Management.
  • The quorum for a meeting of the Committee shall be no less than one-half of the members, as outlined in Membership and Attendance, who are entitled to vote.

Review

  • Members will review the Committee’s Terms of Reference at least annually. Any amendments shall be submitted to the Governance and Nominations Committee for consideration and approval.
